As the manager of a PLC incorporated under the new Code for Companies and Associations (CCA), if you move the registered office within the same region and the company's articles of association do not specify the full address, but only the region, then the change of address does not require an amendment to the articles of association. We describe the steps to follow here.
✅ 1. Manager's decision
Since this is a simple change of address within the same region (without any statutory amendment), the manager can make this decision alone, unless the articles of association provide otherwise.
Draft a manager's decision (minutes) stating the new address (see the template at the end of this article).
This document must be dated and signed.
✅ 2. Publication in the Belgian Official Gazette
Although the articles of association are not being amended, the change of address must still be published in the Belgian Official Gazette, via the Crossroads Bank for Enterprises (CBE).
There is no need to involve a notary, since there is no statutory amendment in this case. You can therefore do this yourself, or ask an accredited business counter for assistance.
This process will soon be available online (e-greffe.be), but this option is not yet available. It is therefore recommended to use an accredited business counter to help you with these steps.
The publication fees for the Belgian Official Gazette amount to €168.40 excl. VAT.
✅ 3. Update the address in the CBE
The address will be automatically updated in the Crossroads Bank for Enterprises once the publication has been completed.

Insurance
Clients and suppliers
FPS Finance (via Intervat - form 604B)
