As the director of a PLC incorporated under the new Code for Companies and Associations (CCA), if you move the registered office within the same region and the articles of association do not specify the full address, but only the region, then the address change does not require an amendment to the articles of association. Here we describe the steps you need to take.
✅ 1. Director's decision
Since this is a simple address change within the same region (with no amendment to the articles), the director can make this decision alone, unless the articles of association provide otherwise.
Draft a director's decision (minutes) stating the new address (see the template at the end of this article).
This document must be dated and signed.
✅ 2. Publication in the Belgian Official Gazette
Even though the articles of association are not being amended, the address change must still be published in the Belgian Official Gazette, via the Crossroads Bank for Enterprises (CBE).
There is no need to involve a notary, since there is no amendment to the articles here. You can therefore do this yourself, or ask an accredited business counter for help.
This process is now available online (e-greffe.be).
The publication fees for the Belgian Official Gazette amount to €171.70 excl. VAT from 1 March 2026 to 28 February 2027.
✅ 3. Update the address in the CBE
The address will be automatically updated in the Crossroads Bank for Enterprises once the publication has been completed.
✅ 4. Inform your partners and update your documents
Update the address on:
Invoices
Website
Letterheads
Bank
Insurance policies
Customers and suppliers
FPS Finance (via Intervat - form 604B)
